Terms of Service

1. Agreement to Terms

By accessing or using the Raven AI platform and related services (the "Service") operated by RevoFi, LLC ("RevoFi," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Description of Service

RevoFi provides an intelligent cloud platform that includes:

• AI Agents: Specialized artificial intelligence assistants (Raven) for various tasks including coding, analysis, and automation
• Device Management: Tools to monitor and manage network devices connected to the RevoFi infrastructure
• Compute Marketplace: A platform for buying and selling computational resources across the decentralized network
• Edge Computing: NVIDIA-powered edge devices for AI inference and compute workloads
• Connectivity Services: WiFi and network services via the RevoFi Passpoint network

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

4.1 Prohibited Activities

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, or threaten other users
• Transmit malware, viruses, or other malicious code
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Circumvent any access control or rate limiting measures
• Scrape, crawl, or spider the Service without permission
• Impersonate any person or entity

4.2 AI Agent Usage

• Do not use AI agents to generate illegal, harmful, or deceptive content
• Do not use AI agents to harass, threaten, or defame others
• Do not attempt to extract proprietary model information or training data
• Do not use AI outputs for critical decisions without human oversight

4.3 Compute Resource Usage

• Do not use compute resources for cryptocurrency mining unless explicitly permitted
• Do not exceed your allocated resource quotas
• Do not use compute resources to attack or harm other systems
• Do not run workloads that violate third-party terms of service

5. Intellectual Property

5.1 RevoFi's Intellectual Property

The Service, including all software, algorithms, designs, interfaces, and documentation, is owned by RevoFi and protected by intellectual property laws. RevoFi holds U.S. Patent No. 12,293,359 and other pending patents related to the technology.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

5.2 Your Content

You retain ownership of any content you create, upload, or input into the Service ("Your Content"). By using the Service, you grant RevoFi a limited license to process Your Content solely to provide the Service to you.

AI-generated outputs based on your inputs are considered Your Content, subject to the following: you are responsible for reviewing and validating AI outputs before use.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant RevoFi an unrestricted, perpetual license to use such feedback without compensation.

6. Payment Terms

Certain features of the Service may require payment. By purchasing services:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are non-refundable unless otherwise stated
• We may change pricing with 30 days' notice
• You are responsible for any applicable taxes

For compute marketplace participants, separate terms govern the buying and selling of computational resources, including payment processing and revenue sharing.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may:

• Perform maintenance that may temporarily affect availability
• Modify or discontinue features with reasonable notice
• Experience outages due to circumstances beyond our control

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REVOFI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI OUTPUTS

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVOFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Damages arising from reliance on AI outputs

IN NO EVENT SHALL REVOFI'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO REVOFI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless RevoFi and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Content

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Conduct that may harm RevoFi, other users, or third parties
• Non-payment of fees
• Extended periods of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification.

You may terminate your account at any time by contacting support. Upon request, we will provide a copy of your data before deletion, subject to our Privacy Policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against RevoFi.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and RevoFi regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
